Set up

Skills are installed by placing their folder where your agent loads skills.

The download comes from github.com/Samirpatellaw/nil-contract-analyzer itself, not from our server, so what you get is exactly what its author published.

Install instructions come from the README

Skills do not use an MCP config. Follow the steps in the README below.

NIL Contract Analyzer

A Claude Skill that reviews Name, Image, and Likeness (NIL) contracts from the NCAA student-athlete's perspective. Upload a contract PDF and receive a structured review memorandum identifying red flags, missing protections, compliance issues, and negotiation positions.

DISCLAIMER: This project is for educational and informational purposes only. It does not constitute legal advice, and is not intended to provide legal advice to any person or entity. No attorney-client relationship is created by using this tool. AI can miss context, misinterpret clauses, and hallucinate issues that do not exist. Any output from this tool must be independently verified by a licensed attorney before being relied upon. If you need legal advice, consult a qualified attorney in your jurisdiction.

What It Does

  • Reviews NIL contracts clause-by-clause from the athlete's side
  • Checks against 9 Standard Athlete Protective Requirements and 9 Red Flag Categories
  • Produces a 7-part structured review memorandum with a top-line recommendation
  • Provides preferred redlines and fallback positions for each issue found
  • Applies state-specific compliance when available (ships with Florida / F.S. 1006.74)
  • Covers individual deals, group licensing, and NIL collective agreements

What It Does NOT Do

  • Represent the brand/company side
  • Replace independent attorney judgment
  • Cover non-NIL contracts (general endorsements, employment agreements)
  • Provide final legal advice

Top-Line Recommendations

Every review produces one of three verdicts:

RecommendationMeaning
ACCEPTABLE AS DRAFTEDNo HIGH severity issues; protective requirements met
NEGOTIATE BEFORE SIGNINGHIGH severity issues that can be resolved through redlining
ESCALATE — DO NOT SIGNDeal-breakers present (perpetual rights, pay-for-play, eligibility risk)

Deliberate Gaps — Help Wanted

Because this project is for educational purposes, there are deliberate gaps in the skill that we want the community to help fill. This is by design — we want contributions, engagement, and collective improvement. Areas that need work include:

  • State-specific compliance — Only Florida is included. There are 50 states with varying NIL laws. See below for how to contribute a state file.
  • Emerging deal types — NFT/digital collectible deals, international NIL arrangements, and AI-generated content licensing are not fully covered.
  • Red flag evolution — NIL deal structures change rapidly. New risk patterns emerge as the market matures and case law develops.
  • Analysis depth — Some protocols could be more granular, especially around revenue sharing in collective deals and tax treatment analysis.
  • Output formatting — The review memorandum template can be refined to be more useful for practicing attorneys.

Contributing

We encourage you to fork, iterate, and improve this skill. Pull requests are welcome.

Adding a State Compliance File

The single most impactful contribution is adding a state-specific compliance file. Only Florida is included today — we need all 50 states.

To contribute one:

  1. Create a file in references/ named STATE_COMPLIANCE.md (e.g., TEXAS_COMPLIANCE.md, CALIFORNIA_COMPLIANCE.md)
  2. Follow the format used in FLORIDA_COMPLIANCE.md — include a quick reference table of the state's NIL statute, a compliance review checklist, and institutional/NCAA bylaw considerations
  3. Submit a pull request so it can be reviewed and merged into the repo

The analyzer will automatically apply the matching state file when the athlete's institution is in that state.

Other Contributions

  • Expand red flag categories — Add new patterns you've seen in real-world NIL deals
  • Improve analysis protocols — Refine the clause-by-clause review logic based on practical experience
  • Enhance the output template — Make the review memorandum more actionable

If you build something useful on top of this, please share it back with the community. The AGPL-3.0 license ensures that improvements remain open for everyone.
